The recipient of this disclaimer acknowledges and agrees not to disclose or permit access to any and all materials granted to the recipient hereafter other than to its clients, employees, officers, directors, shareholders, or attorneys. Recipient shall safeguard this confidential information from unauthorized use, access or disclosure using at least a degree of care it uses to protect its most sensitive information and no less than a reasonable degree of care. Recipient shall promptly notify Pharma Property Group, Inc., of any unauthorized use or disclosure of confidential information and shall take all reasonable steps to prevent further use or disclosure. Recipient shall be responsible for any breach of this Agreement caused by the recipient including recipient’s agents, affiliates, assigns, and subsidiaries.

The recipient further agrees and acknowledges it shall not, directly or indirectly, except in collaboration with or with the prior express written consent of Pharma Property Group, Inc.: (a) enter into any transaction with any party introduced to the recipient by the Pharma Property Group, Inc (the "Introduced Party") similar to, in competition with, or which otherwise could have the effect of preventing the Pharma Property Group, Inc., from receiving the full benefit of, the transaction[s] contemplated in these materials to be provided; (b) solicit the Introduced Party to enter into any such transaction; or (c) induce, solicit, procure, or otherwise encourage its representatives or any third party, or respond to any solicitation from any of the same, to enter into any such transaction.
